Service terms and conditions

What you buy when you buy a plan, what the hosted conversion service at api.html2wp.dev promises and what it does not, and who to talk to when something goes wrong. The plugin you install has its own source-available licence (the source code is public), but these terms cover the service and the purchase.

Who we are

BELNEM s.r.o., Beckovská 5, Bratislava, Slovakia, company ID (IČO) 53713486, builds and runs html2wp. In these terms “we” and “us” means BELNEM s.r.o., and “you” means the person or business that buys a plan or uses the service.

Payment, through Paddle

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

In practice that means you buy from Paddle, and Paddle's terms for buyers (Buyer Terms) govern the payment itself. They cover the charge, the sales tax or VAT added to it, and the invoice you receive. These terms govern what the payment buys: the licence, the keys and the service behind them. Where the two overlap on anything about paying, Paddle's terms apply.

What you can buy

Every paid plan is a subscription that renews until you cancel. Pro includes client work, re-runs of the same site, and the blog converted to WordPress posts. Visual Edit Pro is the editor and includes no conversions. The binding current list is on the pricing page. If the pricing page and this summary ever disagree, you bought what the pricing page said when you paid.

  • Pro, €49 a month or €490 a year. No limit on the number of conversions, pages per conversion or re-runs. On top of that, a shop converted to WooCommerce, and a link to the free Visual Edit Lite with every conversion. The subscription renews every month or every year until you cancel, and you can switch between the two periods; see the rules for managing and cancelling a subscription. Pro runs up to 6 conversions at once, the free version one.
  • Visual Edit Pro, €59 a year. The editor only: it unlocks Pro features on one site at a time, registered to one domain, and includes no conversions. You download the plugin with the key from the download page, and updates arrive through WordPress while the licence is valid. It renews every year until you cancel, on the same terms as Pro.

Beta pricing

While the beta runs, the first payment is 30% off. Checkout applies the discount automatically, with no code to find. It covers the first month or the first year, depending on the plan. Renewals are charged at the list price, and the checkout tells you so before you pay.

Licence keys

  • Issued automatically. Once Paddle confirms the payment, the key arrives by email at the address you gave at checkout. Nobody has to approve it. If nothing arrives, check the spam folder, then write to us.
  • One licensee. A key is licensed to the person or business that bought it, including its employees and contractors working on its projects. Do not share it with another business, publish it, or resell it.
  • A key lasts as long as the subscription. It works to the end of the period you have paid for. When the subscription ends, the key stops working. The themes you already produced are unaffected: they run with no plugin and no key.
  • Refunds and chargebacks block the key. When a purchase is refunded, or the payment is reversed through a chargeback (your bank pulls the payment back), the keys from that purchase stop working.

Managing and cancelling a subscription

  • Where. You manage a subscription yourself on the subscription management page, which takes you to Paddle's customer portal. The link in any Paddle receipt opens the same portal. In the Paddle portal you cancel, change the payment method, update billing details and download invoices. You can also write to us.
  • Cancelling stops the next renewal. It takes effect at the end of the period you have paid for: the key keeps working until then and nothing further is charged. Cancelling is not a refund, and the unused part of a period is not paid back. Refunds follow the refund rules. Until the paid period ends, a cancelled subscription can be resumed on request.
  • Switching Pro from monthly to yearly happens on the same page, through a link we email to the address you bought with. The switch applies at once and the key stays the same. The yearly period starts on the day you switch and is not added on top of the time you have left. The yearly price, less the unused part of the current month, is charged at once to the payment method saved on the subscription. The confirmation page shows you that amount and the next renewal before you agree. The beta discount applies to a first purchase only, not to a switch. If the charge fails, nothing changes.
  • From yearly to monthly there is no switch part-way through a year: the year you paid for runs to its end, and we neither refund it nor turn it into credit. If you write to us before it renews, the renewal is set to monthly, with the same key.
  • If a renewal payment fails, Paddle retries it. The key keeps working to the end of the period already paid for. If a retry succeeds, the same key carries on, and if the retries run out, the subscription ends.
  • When a subscription ends, a Pro key stops running conversions. Visual Edit Pro keeps working on your site, but with its Pro features switched off and without downloads or updates. Themes you already produced stay as they are. Buying again starts a new subscription with a new key.

What beta means

html2wp is in beta, and the label is meant literally. It converts real sites and is used on real work, but the automatic checks (gates) catch most drift from the original, not all of it. The last step of every conversion is your own page-by-page review. A human review before you hand a site to a client is part of the process and does not mean something went wrong.

We do not promise pixel-perfect output, and you should not promise a client a result you have not looked at. When the generator itself is wrong, report it and a person reads it. Fixes ship as service updates.

The conversion service

These points were stated in the plugin repositories before these terms existed, and they stay true under them:

  • The Service is separate from the Software. The plugin's source-available licence covers the AI agent skill and its scripts. It does not license the hosted service, and the service is not part of what you install.
  • Your output is yours, unconditionally. A theme produced from your design puts you under no obligation to us. This holds regardless of everything else in these terms, including after a refund, after a deadline has passed or with a blocked key. See the output section of the licences page.
  • The uploaded workspace is deleted 48 hours after it stops changing. The check results and the conversion record are kept 365 days, defect reports 90 days. All the details are on the data page.
  • The delivered theme calls no server of ours at runtime, ever. These terms govern the conversion, not the site you hand over. If the service stops working, nothing on the site stops working.
  • The service announces refusals, in words. The conversion allowance, page limits and re-run counts are what the service reports at the time, not a number computed anywhere else.

We run the service with reasonable care and aim to keep it available, but we offer it without guaranteed availability (uptime). Planned maintenance and outages happen. If one of them gets in the way of a deadline, write to us.

Refunds

You can get the full amount back within 14 days of purchase if the key has not been used. For Pro that means no conversion was started with it. For Visual Edit Pro it means the key was not activated on any site. A renewal can be refunded on the same condition within 14 days of the renewal charge. Paddle refunds to the original payment method, and the keys are blocked once the refund is approved. The full rules, including subscriptions and how to ask, are on the refunds page.

Acceptable use

Use the service for sites you own, or that you have the right to convert for the person who does. In particular, do not:

  • convert a site you are not entitled to copy, or use the service to infringe anyone's copyright, trademarks or other rights;
  • upload malware, or content that is illegal where you or we are;
  • try to get around allowances, page limits or licence checks, or share a key so that several businesses draw on one allowance;
  • probe, overload or attack the service or the licence server, other than through the process described on the security page;
  • resell access to the service itself, as opposed to the work you do with it.

If you do, we may refuse conversions or block the key. Where the problem can be put right, we first tell you what it is and give you the chance to fix it.

Liability

We are responsible for doing what these terms say, with reasonable care. We are not responsible for losses we could not reasonably have foreseen, for lost profits or business, or for a site handed to a client without the review described in the section on what beta means.

To the extent the law allows, our total liability for everything connected with the service and your purchases is capped at the amount you paid us in the 12 months before the claim arose. That cap does not apply to liability that cannot be limited by law, such as for intent or gross negligence.

If you buy as a consumer, your statutory rights are unaffected. Nothing in these terms takes away a right the law of your country gives you and does not allow a contract to remove.

Changes to these terms

We may change these terms as the service changes, and will publish the new version here. A change that reduces what you already paid for applies to that purchase only if you agree to it. If you do not agree, the terms as they stood when you paid keep governing it. For every subscription, we announce a material change by email before the next renewal, so that you can cancel before it applies. The date at the top of this page is when these terms last changed.

Law and disputes

These terms are governed by Slovak law, and disputes go to the courts of Bratislava. If you are a consumer living in another EU country, you keep the mandatory protection of that country's law, and you can bring a claim where you live.

Writing to us first is usually the fastest way to settle anything. Consumers can also use alternative dispute resolution, in Slovakia through the Slovak Trade Inspection (SOI).
